A IGJ promove a digitalização dos procedimentos de registro

The IGJ is closing the paper era. General Resolution 5/2026, published on 2 June and effective the next day, eliminates the obligation to file paper copies of the original instrument and enables the electronic delivery of registered documentation. It is the fifth reform resolution issued by the registry’s new management, after earlier measures on the registration of directors, public consultation, corporate administrators and foreign companies. The implementation schedule was completed on 10 August 2026: since then, no registered documentation is delivered on paper.

Why the IGJ went paperless

Before the reform, filing a registration meant preparing simple or wide-margin paper copies of the original instrument, as article 35 of Annex A of General Resolution 15/2024 required, and then attending the registry in person to collect the registered documents. General Resolution 5/2026 removes the copy requirement, and the digital delivery removes the appointment. It fits a wider policy of dropping formalities that add no verifiable control value, which the IGJ has applied reform after reform this year.

For a foreign-owned company, the change matters in three practical ways:

  • Nobody has to be physically available in Buenos Aires to collect registered documents, because delivery goes to the company’s digital account.
  • The registered documents carry a digital signature and are easy to forward to banks, advisers and counterparties.
  • Registration now travels through the same digital channels as other IGJ procedures, such as the financial statements filed in SODA.

How digital registration works

  1. The filing is submitted electronically through the IGJ’s digital platform, with no paper copies of the original instrument.
  2. The submitting professional enters the recipient’s data, CUIT and an alternate email address in the filing form.
  3. Once the registration is completed, the IGJ generates a digital registration form with the registered documents embedded, signed with the digital signature of the competent official.
  4. The form is delivered through the TAD platform (Trámites a Distancia) to the account linked to the recipient’s CUIT.
  5. Protocolization continues in electronic format with full legal validity.

The biggest practical change is that nobody needs to visit the registry to collect the registered documents, and no simple or wide-margin copies of the original instruments have to be filed.

Foreign companies: the parallel reform

The digital shift arrives alongside General Resolution 4/2026, which overhauled the regime for companies incorporated abroad. It merges into one set of requirements the rules for foreign companies that take part in local companies (article 123 of the General Companies Law) and those that operate habitually through a branch, office or permanent representation (article 118), with additional requirements only for the latter. Registration under article 118 dispenses the foreign company from registering again under article 123. The resolution also admits digital documentation from abroad and repeals 30 articles that added cost and delay without a verifiable control purpose.

For an article 123 registration, the file includes:

  • A certificate of good standing (vigencia) issued no more than six months earlier.
  • The constitutive instrument and its amendments.
  • The corporate resolution to register and to appoint the representative, with their powers.
  • The representative’s acceptance and the constitution of a special and an electronic domicile.
  • Declarations on politically exposed persons and beneficial owners.

How this fits the IGJ’s 2026 reform series

Paperless registration is one piece of a larger overhaul. Read together, the year’s main resolutions look like this:

General Resolution 4/2026Registration of companies incorporated abroad
General Resolution 5/2026Paperless registration and digital delivery through TAD
Resolução Geral 6/2026Extended moratorium for overdue financial statements
Resolução Geral 7/2026Creation of the SODA online system

The most recent one changes how companies are formed in the first place, as we explain in our post on the novo regime de registro do IGJ.

O que as empresas devem fazer

  • Confirm that the company’s CUIT has an active TAD account and that someone monitors it, because registered documents now arrive there.
  • Ask your local professional to include the correct recipient data and an alternate email address in every filing.
  • Store the digitally signed registration form securely, since it is now the registered document that used to be collected in person.
  • Keep a representante legal na Argentina who can sign filings and follow the electronic file on the company’s behalf.
  • Read this together with the IGJ’s online system for financial statements, covered in our post on SODA, the moratorium and digital filings.

Perguntas frequentes

Do I still receive paper copies of registered documents?

No. Since 10 August 2026 registered documentation is no longer delivered on paper. The IGJ issues a digitally signed registration form and sends it through TAD.

What is TAD?

Trámites a Distancia is Argentina’s online platform for remote administrative procedures. Registered IGJ documents are delivered to the account linked to the recipient’s CUIT.

Do I need to go to the registry in person to collect documents?

No. In-person retrieval is no longer required.

Does this affect foreign companies?

Digital registration and delivery apply to registry procedures in general, and General Resolution 4/2026 separately simplified the regime for foreign-incorporated companies, admitting digital documentation from abroad.
